Terms of Service
Last updated: October 25, 2026 · Version 1.2
These Terms are a contract between you and Raqs Enterprise LLC, a Pennsylvania limited liability company doing business as urCircl ("urCircl", "we", "us"). Section 20 requires most disputes between you and urCircl to be resolved by individual arbitration, not in court or as a class action, unless you opt out within 30 days.
1. Accepting these Terms
You accept these Terms by checking the box and tapping "Agree and continue" when you create an account. If you do not agree, do not use urCircl. We keep a record of the version you accepted and when.
2. What urCircl is
urCircl is software that lets you and people you choose write down agreements — such as personal loans, rotating savings pools, group contributions and item loans — sign them electronically, record what happens under them, and keep a copy. You decide whether to make an agreement, with whom and on what terms.
3. What urCircl is not
urCircl is not a bank, lender, credit union, money transmitter, payment processor, escrow agent, broker, debt collector, credit bureau or consumer reporting agency, investment adviser, or fiduciary. We do not lend money, arrange or negotiate loans, hold or move anyone's money, collect debts, or guarantee that anyone will pay, return an item, or keep any promise. We are not a party to agreements between users and are not the agent of any user. urCircl is paid through an optional subscription for its record-keeping software; plans differ in how many agreements you can keep active and their size. That subscription is a fee for the app itself — never a charge for lending, arranging or brokering credit, and urCircl never takes any part of the money that moves between users.
4. Eligibility and accounts
You must be at least 18 to open an account, and at least the age of majority where you live to sign an agreement (19 in Alabama and Nebraska, 21 in Mississippi). You may have one account. You must give accurate information, keep it current, keep your login secure, and tell us promptly at support@urcircl.com if you think your account has been used without permission. You may not use urCircl if you are on a U.S. sanctions list (including the U.S. Treasury Office of Foreign Assets Control (OFAC) Specially Designated Nationals (SDN) list), are located in a country or region subject to comprehensive U.S. sanctions, or are owned or controlled by, or acting on behalf of, any such person. When you create an account you represent and warrant that none of these apply to you, and you agree to tell us promptly if that changes.
5. Payments happen outside urCircl
Users pay each other directly using services they choose, such as Venmo, Zelle, Cash App or cash. Those services' own terms apply, and urCircl is not responsible for them. When you record a payment in urCircl, you are making a record of something that happened elsewhere. A record in urCircl is evidence of a payment; it does not make the payment happen and is not the only way to prove one.
6. Electronic signatures and records
Before you sign your first agreement, we ask for your consent to use electronic records and signatures. In the United States, an electronic signature has the same legal effect as a handwritten one under the federal ESIGN Act and state law. Whether a particular agreement can be enforced depends on its terms, the facts and the law that applies; urCircl does not promise that any agreement is enforceable. We keep each signed agreement, its audit trail and its signature records for at least 7 years after it closes. You can download a copy at any time and request a paper copy at no charge.
7. Users outside the United States
If urCircl does not yet support your country, your agreements are created in "Record only" mode. They are a signed, timestamped record of what the parties agreed; urCircl makes no representation that they are legally binding where you live, and some features are not available. Which mode applies is set for each agreement when the last party signs and is shown before you sign. You are responsible for complying with your local laws.
8. Rules for using urCircl
You agree not to:
- give false information or impersonate anyone;
- create agreements you do not intend to honor, or record payments or events that did not happen;
- lend money as a business;
- threaten, harass or intimidate anyone, including about a debt, or contact anyone at unreasonable times;
- publish anyone's private information outside the agreement it belongs to;
- make false statements about another person, including false claims that they did not pay;
- manipulate Track Records, including through fake accounts, agreements with yourself or arranged agreements;
- list or lend motor vehicles, boats, aircraft, firearms, ammunition, weapons, alcohol, tobacco or cannabis products, prescription drugs or medical devices, hazardous materials, recalled products, animals, real property, or stolen, counterfeit or illegal goods;
- use urCircl for gambling, illegal lending or any illegal purpose;
- access urCircl by automated means, scrape it, or interfere with its security; or
- infringe anyone's intellectual property.
We may remove content, limit features, or suspend accounts that break these rules (Section 19).
9. Track Record
Your Track Record lists facts about agreements you have made on urCircl, such as how many you completed on time. It is not a credit score or credit report; it is not shared with credit bureaus, and we do not sell it. An item appears only when both parties confirmed it or urCircl's records show it happened, for example a due date passing with no recorded payment and no dispute. Before any past-due item appears, we will notify you and give you 14 days to record a payment or dispute it. You may dispute any item at any time; a disputed item shows as "Disputed" while we review it, and we aim to finish within 30 days. Past-due items stop showing 24 months after they are resolved, and in any case 36 months after the original due date. You choose who can see your Track Record. Other users may use it only to decide whether to make an agreement with you on urCircl, and never for employment, housing, insurance or credit decisions outside urCircl. We may remove items created through fraud or manipulation. If you have an unresolved past-due item as a borrower, you may not start new borrowing on urCircl until it is resolved or disputed.
10. Identity verification
Signing an agreement requires identity verification through our provider, Stripe, Inc. (Stripe Identity). Verification compares a government ID with a selfie at one point in time. A "verified" label means only that this check was passed on the date shown. It is not a guarantee of who someone is, of their honesty, or of their ability to pay. Our Biometric Data Policy explains how biometric data is handled.
11. Communications
We send account, security and agreement messages by push notification, email and, if you opt in, text message. You can turn off optional messages in Settings. For texts, reply STOP to opt out and HELP for help; message and data rates may apply. We send marketing email only with an unsubscribe link. urCircl does not send text messages to people who are not users; invitations you send go from your own device.
12. Your content
You own the content you add, such as agreement details, notes, photos and messages. You give urCircl a non-exclusive, worldwide, royalty-free licence to host, store, copy, display and transmit it only to operate urCircl, to show it to the other parties to your agreements, to keep the records described in Section 6, and as required by law. The licence continues for records kept under Section 6 after you delete your account. You promise your content is accurate to the best of your knowledge and that you have the right to share it. We do not adopt or verify user content and may remove content that breaks Section 8.
13. Copyright complaints
If you believe content on urCircl infringes your copyright, send a notice under 17 U.S.C. §512(c)(3) to our designated agent: Copyright Agent, Raqs Enterprise LLC, c/o Republic Registered Agent LLC, 239 4th Ave, Ste 1401, Pittsburgh, PA 15222, dmca@urcircl.com. We will remove infringing content and terminate repeat infringers' accounts in appropriate circumstances.
14. urCircl's property
urCircl's software, design, templates and trademarks belong to us. We give you a limited, personal, non-transferable licence to use the app for its intended purpose. You may use and share agreements you executed for any lawful purpose, including in court.
15. Subscriptions and fees
Some features need a paid subscription bought through your app store (Google Play, or the App Store on iOS). The price, billing period and renewal terms are shown in your local currency before you buy. Subscriptions renew automatically at the then-current price until you cancel. You can cancel any time from Manage subscription in urCircl, which opens your app store's subscription settings (Google Play → Subscriptions, or the App Store → your account); cancellation takes effect at the end of the current billing period. We will notify you at least 7 days before any price change, and remind you before each annual renewal. Refunds follow your app store's refund policy, and we may also issue refunds at our discretion. A one-time pass does not renew. Your first copy of every agreement you sign, your Track Record and agreement notices are available on every plan, including Free.
16. Your responsibility for claims
If someone makes a claim against urCircl because of your agreements with other users, your content, your breach of these Terms, or your violation of law or of someone's rights, you will cover urCircl's reasonable losses and costs from that claim, including reasonable attorneys' fees, to the extent the claim was caused by you. We will tell you about the claim and let you participate in its defense.
17. Disclaimers
urCircl is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that urCircl will be error-free or uninterrupted, that any user will perform an agreement, or that information users provide is accurate. Nothing in urCircl is legal, financial or tax advice; the state information pages are general information only.
18. Limits on liability
To the extent the law allows: (a) urCircl is not liable for indirect, incidental, special, consequential or punitive damages, or for losses caused by other users, including unpaid debts, unreturned or damaged items and pool defaults; and (b) urCircl's total liability for all claims relating to urCircl is limited to the greater of $100 or the amount you paid urCircl in the 12 months before the claim arose. These limits do not apply to liability for fraud, gross negligence or willful misconduct, to death or personal injury caused by our negligence, or to rights that cannot be limited by law. New Jersey residents: these limits and the disclaimers in Section 17 apply to you only to the extent permitted by New Jersey law, and nothing in these Terms limits any right you have under the New Jersey Consumer Fraud Act or the Truth-in-Consumer Contract, Warranty and Notice Act.
19. Suspension and closing accounts
You may delete your account at any time in Settings. We may suspend or close an account, or limit features, if we reasonably believe it breaks these Terms or the law, creates risk to other users or urCircl, or is required by law. Except where giving notice would create a risk, we will tell you why and give you a chance to respond, and you can appeal by emailing support@urcircl.com. Closing an account does not cancel agreements between users. You can still request copies of your signed agreements under Section 6.
20. Disputes between you and urCircl: arbitration and class waiver
(a) Informal resolution first. Before starting arbitration or a small-claims case, send a written notice describing the dispute to legal@urcircl.com or our postal address; we will try for 60 days to resolve it. The applicable statute of limitations and any filing deadlines are paused (tolled) while this 60-day informal-resolution period runs.
(b) Arbitration. Any dispute between you and urCircl arising from these Terms or urCircl will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules and Mass Arbitration Supplementary Rules, except that either of us may bring an individual claim in small-claims court. The Federal Arbitration Act governs this Section. urCircl will pay the filing, administrative and arbitrator fees beyond the amount you would pay to file in court. The arbitration will take place in your county of residence or by video.
(c) No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding.
(d) Mass filings. If 25 or more similar claims are filed by or with the help of the same law firm or organization, they will be resolved in staged batches under the AAA's mass arbitration procedures, and the limitation period for each is suspended while it waits.
(e) Public injunctive relief. Nothing here waives a claim for public injunctive relief that cannot be waived under applicable law; such a claim will be decided by a court after the individual arbitration ends.
(f) Opt out. You may opt out of this Section within 30 days after first accepting these Terms by emailing optout@urcircl.com with your name and the email on your account.
(g) Scope. This Section does not apply to disputes between users about their agreements.
(h) Who decides questions about this Section. The arbitrator, not a court, decides any dispute about the interpretation, scope, enforceability or formation of this arbitration agreement, except that a court decides (i) whether a claim qualifies for small-claims court and (ii) whether the class-action waiver in (c) is enforceable.
(i) Severability of the class-action waiver. If the class-action waiver in (c) is found unenforceable as to a particular claim, only that claim is severed from arbitration and decided by a court; the rest of this Section still applies to that claim and to every other claim.
21. Governing law and courts
These Terms are governed by the Federal Arbitration Act and the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules, except that the consumer-protection laws of your state of residence also apply where they cannot be waived. Any claim not subject to arbitration will be brought in the state or federal courts for the county where you live or in Pennsylvania, at your choice. To the extent permitted by law, each party waives trial by jury for any claim that proceeds in court; this waiver does not apply where prohibited, including in California, Georgia and North Carolina. Agreements between users state their own governing law.
22. Changes to these Terms
We may update these Terms. For material changes we will notify you in the app and by email at least 30 days before they take effect, and ask you to accept them; if you do not, you may close your account and keep access to your records. Changes do not apply to a dispute that arose before the change took effect.
23. Notices and contact
We give notices in the app or to the email on your account. Send notices to us at legal@urcircl.com and Raqs Enterprise LLC, c/o Republic Registered Agent LLC, 239 4th Ave, Ste 1401, Pittsburgh, PA 15222. Support: support@urcircl.com.
24. General
These Terms, the Privacy Policy, the Biometric Data Policy and the ESIGN consent are the entire agreement between you and urCircl about urCircl; agreements between users are separate. If a provision is unenforceable it will be modified to the minimum extent needed, and the rest stays in effect. We may assign these Terms in a merger, acquisition or sale of assets; you may not assign them without our consent. Failure to enforce a provision is not a waiver. Neither of us is liable for delays caused by events beyond reasonable control. Sections 5, 6, 9, 12 and 16–24 survive account closure. Nothing in these Terms creates a partnership, joint venture, agency or fiduciary relationship.
